What Can We Do for You?

Our experienced accountants and professionals are on staff to advise you on business structure, taxes, accounting and more! Our specialties and services include, but are not limited to:

  • Operating Agreements:We draft, advise and maintain your LLC’s operating agreement. They are sometimes required by law, but always necessary to protect your operating rights & assets.
  • Corporation:A business registered to conduct operations as one entity, separate and distinct from its owners. Corporations pay a flat rate 35% taxation unrelated to owners or shareholders. Owners need not be US Citizens.
  • S-Corporation:If eligible, corporations may choose to be taxed as a subchapter S, which means they can avoid double taxation of both the company and its shareholders. Owners must be US Citizens.
  • LLC:Owners need not be US citizens and can enjoy limited legal liability for members, with the benefit of reporting business on own taxes and the enhanced credibility of the title.
  • LP:Limited Partnership has a general partner (100% liability and management) and limited partners (no liability or management privileges, but can invest.) Can add more partners.
  • LLP:Limited Liability Partnership where all partners enjoy limited liability and all can manage. Preferred by law, accounting and financial firms. Partners not liable for one another’s negligence or malpractice.
  • Sole Proprietorship:Simplest form of business. Not a legal entity, individual owner is liable and doesn’t have to be a US Citizen. Owner can report profits/losses on personal taxes. No state filing required.
  • Partnership:In General Partnerships, all partners manage and assume debts equally. They remain personally liable for the company and can report profits/losses on personal taxes.
  • Assumed Name (DBA):We can help you legally operate under a “trade name” if the name you are doing business under differs from your company’s legal name. For all types of businesses.
  • NonProfit Corporation:Also called 501(c); if eligible, we can help you register as tax-exempt and secure protection of your personal assets from activities of your nonprofit
  • Name Reservation:Even if you’re not ready to start your company, we can register and reserve its name in NY State. Picking a name that will set your business apart is an important first step.
  • Minutes & Bylaws:Companies must keep minutes and maintain bylaws. We can help you write and customize your bylaws and maintain a minute book—a record of your meetings and votes.
  • Corporate Kit: You will need a corporate kit. It will contain your formation documents, licenses, corporate seal, meeting minutes and resolutions. We can provide all of these to you in an organized binder.
  • Corporate Seal:Since a corporation is an independent entity, its seal can serve as a company signature. Ask us about a custom corporate seal to authenticate important docs.
  • Certified Copy:May be required in English-speaking countries for commercial or legal purposes; we provide certified copies of identification, birth certificates, judgements, decrees and more.

  • LLC Publishing:A notice of your LLC formation in New York State must be published in two publications for six weeks. We immediately start the process to fulfill this requirement for you.
  • Tax Identification Number (EIN):Your entity must have a Tax ID number to file taxes. We will quickly apply for and obtain a valid Tax ID or Employer Identification Number for you.
  • Certificate of Authority (Resale):If you make taxed sales in New York, you will Need to have a Sales Tax Certificate of Authority on hand. We can register you with the tax department and fulfill this requirement.
  • Registered Agent Service:We can be authorized to receive Service of Process on your behalf in the case of a lawsuit or summons. Also called a resident agent or statutory agent.
  • Biennial Statement:Corporations must file biennial statements to stay registered, or they may be counted as past due. We can help keep your forms accurate, thorough and up to date.
  • Amendments:If your company needs to change its name, address or other information on file, we will file an amendment to the Secretary of State to update your articles on file.
  • Reinstatement:If the authority to do business in New York is dissolved, we can file for a reinstatement as outlined in NY tax code section 203. All original rights and obligations are resumed.
  • Certificate of Good Standing:To do business in NY, you must obtain a certificate showing your corporation or LLC has fulfilled statutory requirements and is authorized to do business.
  • Trademarks:Avoid problems and ensure your application is filled out to your specifications; let us quickly and accurately file trademarks with the USPTO for you.
  • Patents:Patent approval can be lengthy; ensure the best outcome and cut through the confusion when we deal with the red tape to help handle your patent filing needs.
  • Copyrights:Copyright law has many exceptions and loopholes. Do you need exclusive and protected use of your original work? We’ll get it and make sure you understand all of the legal implications.
  • Apostille:Some countries require an Apostille to verify documents. Issued by the US Department of State, this specified certification is needed for documents that have been signed by certain authorities.
  • Delaware Statutory Trust:A legally recognized trust for business use in any state. Owners of the company at hand have an undivided interest in any property held in a DST.
  • Business Licenses:Essentially serves as your permit to conduct business in your city and state; we follow state and local requirements to quickly procure your license or licenses.
  • ITIN:If no members of your LLC have a Social Security Number, you will need to apply for an Individual Tax ID Number” in order to apply for your LLC’s Employer ID Number.
